Mergers and Acquisitions and Integration Service
Generally, with a view to achieving stronger strategic positioning, firms usually engage in M & A deals in order to improve their market presence, increase market share and strengthen the delivery capability of their got-to-market business model. While the strategies and focus of the acquiring, acquired or merging entities differ in most cases, the whole essence of the respective M & A deal is to provide the best opportunity for any of the entities in question under the prevailing circumstances. Often,
it leads to such a consolidation where the companies form an entirely new company. Consequent upon this, the challenge of the ever-so-important M & A integration arises. Either by outright acquisition or merger of equals or near-equals, the same challenges of integration arises.
Latest studies carried out by Espera Information Service show that between Q1 and Q3 alone of 2018, a number of companies around the world announced merger and acquisition deals worth some US$3.3 trillion. This is the highest M & A volume since records of M & A began to be kept in the past 40 years.
With Mergers and Acquisitions worldwide being worth 3.3 trillion U.S Dollars, and rising, and with such amount of money at stake why is it that:
of Mergers, Acquisitions and Partnerships (MAPs) destroy shareholder value
produce no discernible difference?
Post-Merger Drift causes productivity to drop by 25% – 50% for up to two years?
Only 30% of possible synergies are realized?
While:
Organisations with effectively managed cultures consistently outperform others by
generating faster revenue and profit growth and higher share prices?
Mergers, Acquisitions and Partnerships (MAPs) are now a regular occurrence in business life. Even in the public sector, new government policies and strategic objectives give rise to the need for mergers between two or more agencies. As it is in the private sector, so it is in the public. A sound M & A and integration process must be implemented to achieve the best of strategic objectives.
In general, the drivers of Mergers and Acquisitions (M&A) or Mergers, Acquisitions and Partnerships (MAPs) vary from heightened international competition, regulatory changes and an explosion of new technologies to expanding markets, soaring costs of research and the enormous impact of e-commerce.
Espera Global Corporation’s elite Mergers & Acquisitions and Integration Service provides cutting edge support to organizations involved in the process of Merger and Acquisition. We provide the expert support critically required to achieve seamless post-merger integration, at all levels and in all perspectives. The idea is to help develop and deploy a framework for achieving all the fine strategic objectives of the merger or acquisition, in a manner that is meticulously tailored to the client’s unique circumstances. Globally, experience has shown that the absence of such approaches has been the cause of 95 per cent of outright merger failures, and the sole reason why the performance of merged entities ended up disappointing – far short of the initial expectation. Working closely with clients by a carefully crafted compass, our M & A and Integration strategy helps organizations overcome this common phenomenon of merger weaknesses or shortcomings and/or outright merger failures or one bedeviled with perpetual internal distresses occasioned by the merger – a nightmare for companies.
The Nigerian Banking Industry underwent a seismic transformation in 2004 through a much-needed Consolidation
In Africa, arguably the largest ever regulatory imposition for consolidation in the banking industry occurred in Nigeria in 2004, when the Central Bank of Nigeria demanded that banks recapitalize or enter into Mergers & Acquisition to meet recapitalization requirements. This was a classic case of consolidation requirement for a strongly regulated industry such as banking.
Espera Global Corporation rose swiftly to the occasion. Under the leadership of Chief Executive Dr. Glenn S. Prince-Abbi, Espera Global Corporation was arguably the very first to initiate capacity building in Mergers and Acquisitions for the entire banking and finance industry and trained a number of industry C-level executives in M & A and integration, including those in several banks as well as executives in the Security and Exchange Commission, the Nigeria Stock Exchange and the National Planning Commission. This was when Mergers & Acquisitions was relatively rare in the lexicon of the Nigerian finance and banking industry. Beyond such technical trainings, Dr. Prince-Abbi was invited to feature in a number of events where he delivered public lectures and granted series of learning-enhancing interviews on Mergers & Acquisitions and progressive industry consolidation and transformation.
Dr. Prince-Abbi led a number of discussions and granted a couple of press interviews on the general issues of industry consolidation via mergers and acquisitions and touched on other industries in need of consolidation such as insurance and aviation, while also revealing his insights on other issues of corporate strategy.
